1. Agreement to Terms

By accessing or using Calliper's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and Calliper, an Australian business.

2. Description of Services

Calliper provides a platform for purchasing, customizing, and embedding financial calculators on your website. Our services include calculator tools, customization options, embed code generation, usage analytics, and customer support.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

4. Subscriptions and Payments

4.1 Pricing

Calculator prices and subscription fees are displayed in Australian Dollars (AUD) unless otherwise stated. We reserve the right to modify pricing with notice to active subscribers.

4.2 Payment Processing

Payments are processed securely through Stripe. By making a purchase, you authorize us to charge your payment method for the applicable fees.

4.3 Subscriptions

Subscription-based calculators renew automatically unless cancelled. You may cancel your subscription at any time through your account dashboard. Cancellations take effect at the end of the current billing period.

4.4 Refunds

Under Australian Consumer Law, you may be entitled to a refund if our services fail to meet consumer guarantees. Refund requests must be submitted within 30 days of purchase and will be evaluated on a case-by-case basis. Digital products that have been accessed or downloaded may not be eligible for refunds except where required by law.

5. Use of Calculators

5.1 License

Upon purchase, we grant you a non-exclusive, non-transferable license to use and embed the purchased calculators on websites you own or control. This license remains in effect as long as your subscription is active or for one-time purchases, indefinitely.

5.2 Restrictions

You agree not to:

• Resell, redistribute, or sublicense calculators to third parties
• Reverse engineer, decompile, or attempt to extract source code
• Remove or modify copyright notices or branding
• Use calculators for illegal or fraudulent purposes
• Exceed reasonable usage limits or abuse our services

5.3 Customization

You may customize calculator colors and branding through our platform. Customizations must comply with applicable laws and not infringe on third-party rights.

6. Intellectual Property

All content, features, and functionality of our services, including calculators, designs, code, and documentation, are owned by Calliper and protected by Australian and international intellectual property laws. Our trademarks and logos may not be used without prior written permission.

7. Accuracy of Calculations

While we strive to provide accurate calculations, our calculators are provided for informational purposes only. They should not be considered financial advice. You are responsible for verifying results and consulting with qualified professionals for financial decisions.

8. Third-Party Services

Our services integrate with third-party providers (Stripe for payments, SendGrid for emails, Supabase for databases). Your use of these services is subject to their respective terms and conditions.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. To the extent permitted by Australian Consumer Law, we disclaim all warranties regarding merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by Australian law, Calliper shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid for the services in the 12 months preceding the claim. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded.

11. Indemnification

You agree to indemnify and hold harmless Calliper from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot lawfully be excluded, restricted, or modified. Our goods and services come with guarantees that cannot be excluded under Australian Consumer Law.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Australia.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through our website. Your continued use of our services after changes constitutes acceptance of the updated Terms.
